Terms of Service

Please read these Terms of Service carefully before using OpenClicks. These Terms govern your access to and use of the OpenClicks platform and constitute a legally binding agreement between you and Full Frame Marketing Inc.

1. Acceptance of Terms

By accessing or using the OpenClicks platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including users who have free trial access and paying subscribers.

Full Frame Marketing Inc., operating as OpenClicks ("OpenClicks", "we", "us", or "our"), reserves the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

OpenClicks provides an AI-powered Pay-Per-Click (PPC) capital allocation platform that connects to Google Ads to help you allocate advertising budget towards profit rather than volume.

The Service reads your campaign performance data, applies the profit model and guardrails you configure, and produces daily budget reallocation proposals. Proposals are applied to your advertising accounts only after you approve them, or automatically within the guardrails you have set if you enable that option. Additional platforms and capabilities may be added over time and will be described in our product documentation.

Important: The Service acts as an agent on your advertising accounts. While we implement safety controls, you remain responsible for all advertising spend incurred through your connected accounts and for ensuring your campaigns comply with applicable platform policies.

3. Accounts and Access

3.1 Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3.2 Google Ads API Access

The Service requires you to grant OpenClicks read and write access to your Google Ads account(s) via OAuth 2.0. You may revoke this access at any time via your Google account settings. Revocation will prevent the Service from functioning but does not constitute cancellation of your subscription.

3.3 Minimum Requirements

You must be at least 18 years old and have the legal authority to bind the organisation on whose behalf you are signing up. You must have a valid Google Ads account and accept Google's Terms of Service independently.

4. Subscriptions and Billing

4.1 Beta Access

The Service is currently in beta and is provided free of charge. We do not collect payment details and no payment is processed during the beta period. Plan details and pricing will be published at openclicks.ai/pricing before any paid plan begins.

4.2 Future Paid Plans

When we introduce paid plans, we will give you advance notice by email and you will be asked to accept the applicable pricing and payment terms before any charge is made. Continuing to use the Service after the beta period without accepting paid terms will not result in a charge.

4.3 Beta Service Levels

Because the Service is in beta, it is provided on an "as available" basis. Features may change, and we do not offer an uptime commitment during the beta period.

4.4 Spend Limits

OpenClicks does not charge fees based on the advertising spend it manages. Any managed spend thresholds introduced with future paid plans will be published with those plans.

6. Intellectual Property

6.1 Our IP

The Service, including its AI models, algorithms, software, design, and documentation, is owned by OpenClicks and protected by copyright, trade secret, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription.

6.2 Your Data

You retain all rights to your campaign data, ad creative, and account information. You grant OpenClicks a limited licence to access and process this data solely to provide and improve the Service, as described in our Privacy Policy.

6.3 Feedback

Any feedback or suggestions you provide about the Service may be used by OpenClicks without restriction or compensation.

7. Limitation of Liability

Please read this section carefully. It limits our liability to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENCLICKS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Ad spend losses arising from automated decisions made by the Service
  • Losses arising from third-party platform policy changes, API outages, or account suspensions
  • Losses arising from your failure to configure the Service appropriately or set spend caps

In no event shall OpenClicks' total liability to you exceed the amounts paid by you in the 12 months preceding the claim. Some jurisdictions do not allow limitations on liability; these limitations apply to the fullest extent permitted by applicable law.

8. Data and Privacy

9. Termination

You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of your current billing period; access continues until then.

OpenClicks may suspend or terminate your access immediately if you breach these Terms, if your payment fails after reasonable retry attempts, or if continued service would violate applicable law.

Upon termination, we will delete your account data within 90 days, except where retention is required by law or our legitimate business interests. You may request an export of your data prior to termination.

10. Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes informally by contacting hello@openclicks.ai. If unresolved after 30 days, either party may pursue formal proceedings.
